RELIANCE ON MATERIAL
The material that appears on the LGP Site is for informational and entertainment purposes only. Despite our efforts to provide useful and accurate information, errors may appear from time to time. Before you act on information you've found on the LGP Site, you should confirm any facts that are important to your decision. LGP and its information providers make no warranty as to the reliability, accuracy, timeliness, usefulness or completeness of the information on the LGP Site. 

Also note that the news changes over time and reports that were accurate when posted may quickly become old news. Though we may post follow-up reports, and may continue to provide access to the original report, as in an archive of news stories, for example, we don't go back and change the original report to reflect new developments. If you're looking for the most recent information on a given subject, and not the history of how the story unfolded, be sure you're not looking at an out-of-date report.

LGP is not responsible for, and cannot guarantee the performance of, goods and services provided by our advertisers or others to whose sites we link. A link to another website does not constitute an endorsement of that site (nor of any product, service or other material offered on that site) by LGP or its licensors.

Third party providers may change, add or discontinue their content or offerings at any time without notice. They may impose additional or different conditions on your use of their content or services (please read any additional terms that may be posted by such providers). WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES REGARDING CONTENT, GOODS OR SERVICES YOU OBTAIN FROM THIRD PARTY PROVIDERS. YOU WILL LOOK SOLELY TO THE THIRD PARTY PROVIDER FOR ALL CLAIMS REGARDING SUCH MATTERS.

USER SUBMISSIONS:  YOUR ACCOUNT & PASSWORD
If you register an Account, you represent that you are at least 13 years old and that, to the best of your knowledge and belief, your registration information is truthful, accurate and complete. As part of any such registration process, you will select a Username and a Password. You agree that the information you supply during that registration process will be accurate and complete. You also agree not to (i) select, register, or attempt to register, or use a Username of another person with the intention of impersonating that person; (ii) use a Username of anyone else without authorization; (iii) use a Username in violation of the intellectual property rights of any person; or (iv) use a Username that LGP considers to be offensive. LGP reserves the right to reject or terminate any Username or Password that, in its judgment, it deems offensive.

You are responsible for maintaining the secrecy of your Password and for activities occurring under your Account. If you believe someone has used your Password or Account without your authorization, you must change your Password promptly and notify LGP immediately. Each user must register separately. You may not loan your Username and Password to others.

LGP reserves the right to access and disclose any information including, without limitation, Usernames of Accounts and other information to comply with applicable laws and lawful government requests. Please inform LGP if there is a change in the information you provided at the time of your initial registration, including any change of address or name, or change the information to update it in your Account Profile.

OTHER USER SUBMISSIONS AND USE OF THE SITE
LGP encourages an open exchange of information and ideas through the LGP Site. But we cannot and do not review every posting made on any of LGP’s community areas, including User-Generated Videos, Articles, Photos, and postings on the forums for EcoTalk, EcoPeeve, Pledge Photo Proof, EcoThought, or EcoScare, or other public posting areas. You can expect these areas to include content, information, and opinions from a variety of individuals and organizations other than LGP. We do not endorse or guarantee the accuracy of any posting, regardless of whether the posting comes from a user, from a celebrity or "expert" guest, or from a member of our staff.  Please use your judgement when evaluating or reading any posting.

Responsibility for what is posted on any of LGP’s community areas, including User-Generated Videos, Articles, Photos, and postings on the forums for EcoTalk, EcoPeeve, Pledge Photo Proof, EcoThought, or EcoScare, or other public posting areas on the LGP Site lies with each user -- you alone are responsible for material you post. LGP does not control the messages, information or other content that you or others may provide through the LGP Site.

Although LGP cannot monitor all content on LGP’s community areas, including the EcoTalk, EcoPeeve, Pledge Photo Proof, EcoThought, or EcoScare, or other public posting areas, you understand that LGP shall have the right, but not the obligation, to monitor the content of the LGP Site to determine compliance with this Visitor Agreement and any other operating rules that may be established by LGP from time to time. LGP shall have the right, in its sole discretion, to edit, move, delete, or refuse to post any material, submitted to or posted on the LGP Site for any reason, including violation of these Terms of Use, whether for legal or other reasons, or because the material is objectionable or stale. Notwithstanding this right of ours, users shall remain solely responsible for the content of their posting and submissions.

In submitting user-generated material, of any kind, to the LGP Site, you agree to the following terms and conditions: For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, you grant LayzPeople Inc, and any joint venture partners, vendors, production companies, and programming and content distributors, and the parents, affiliates, subsidiaries, licensees, successors and assigns of all of the foregoing a non-exclusive, perpetual, royalty-free, fully paid up license to make use of and distribute your user-generated material, in its original format, in any portion, reproductions, versions, or edited in any manner by us, as well your name, voice, likeness and appearance therein (if any) and the personally identifying information you provide.   License includes the use and distribution on the websites, products and/or services (in any and all media, now known or hereafter invented, including without limitation television, home video/DVD products, and mobile services) of all LGP Parties, an unlimited number of times, in perpetuity, throughout the world, with or without charge or cost to end-users or other third parties, and in the promotion of such websites, products and/or services.

You hereby waive any right of inspection or approval of your Submission as used and distributed by the LGP Site and LayzPeople Inc., or the uses to which they may be put, including without limitation any approval of your appearance and/or use of your name, screenname, email or other information which you have provided.

The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction.  LGP requires you not to use the LGP Site to violate anyone's copyright, trademark or other intellectual property rights. By posting or submitting any material (including, without limitation, photographs and videos) to the LGP Site, you are warranting and representing that you own or have the right to post or make such submission of the material, or are making your submission or posting with the express consent of the owner, and that no other party has any right, claim, or interest in the material that you have submitted or posted. You also warrant that all moral rights in any material that you submit to us or post have been waived. Submitting or posting material that is the property of another, without the consent of its owner, is not only a violation of this Visitor Agreement, but may also subject you to legal liability for infringement of copyright, trademark or other intellectual property rights.

You represent and warrant that your Submission is your original work and that you have secured any and all rights, releases and permissions necessary for the LGP Parties' use and distribution of your Submission hereunder, including without limitation those related to any people, places, music, quotes, factos, performances of dance or music, video, photographs and/or graphics in your Submission (collectively, the "Elements"). You represent and warrant that, to the best of your knowledge, no further permissions or fees are due for the LGP Parties' use and distribution of your Submission or any Elements therein. You further represent and warrant that any statements made by you or others in the Submission are true to the best of your knowledge and that neither they, nor any Element of your Submission, will violate any law or regulation or violate or infringe upon the rights of any third party.

In addition to the clauses outlined above, by using the LGP Site, you agree not to submit, post or transmit through the LGP Site any material or otherwise engage in any conduct that:

• Allows you to gain unauthorized access to the LGP Site, or any account, computer system, or network connected to the LGP Site, by means such as hacking, password mining or other illicit means;
• Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortuous, or contains explicit or graphic descriptions or accounts of, sexual acts;
• Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
• Collects for marketing purposes any email addresses or other personal information that has been posted by other users of the LGP Site.
• Impersonates any person, business or entity, including LGP and its employees and agents or falsely state or otherwise misrepresent your affiliation with any person, business or entity, including LGP;
• Contains an advertisement or solicitation or encourages others to make a donation;
• Contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use of a computer or computer network;
• Encourages conduct that would constitute a criminal offense or that gives rise to civil liability or that otherwise encourages others to commit illegal activities or cause injury or property damage to any other person;
• Results in the posting or transmission of any message anonymously or under a false name;
• Permits any person to access, using your account, any features of the LGP Site that may require registration;
• Results in a single message being posted to more than five areas of any LGP Site, results in any message being posted to any area of the LGP Site if that message is, in our view, off-topic or in violation of this Visitor Agreement; or
• Violates these Terms of Use, guidelines or any policy posted on the LGP Site, or interferes with the use of the LGP Site by others.

NO SOLICITING
You agree not to use the LGP Site to advertise, or to solicit anyone to buy or sell, products or services, nor to solicit anyone to make donations of any kind, without our express written approval.

NO SPAMMING OR SPIMMING
You will not use our Site to make any Communications which are unsolicited bulk advertising or promotional messages (“spam”), so-called “chain letters,” pyramid schemes, or make Communications of a promotional nature other than through channels authorized by the Site. You may not harvest email addresses or instant messaging identifiers.

INVITING FRIENDS
YOU WILL ONLY SEND INVITATIONS TO JOIN THE SITE TO RECIPIENTS WITH WHOM YOU HAVE AN EXISTING RELATIONSHIP. You will NOT send invitations to join the site to (a) a purchased list of email addresses from ANY source no matter what that source claims, (b) distribution lists or mailing lists, i.e. email addresses that mail to more than one email address, or, (c) captured email addresses obtained by surfing the Internet or “scraping” web pages.

DATA MANAGEMENT & BACKUPS
We reserve the right to manage and operate our system resources and to archive or delete any files stored on our Site at any time. You are responsible for making back-up copies of any files that you wish to preserve. We may archive or delete files stored in accounts that have not been logged into and are inactive for an extended period of time, as determined by the Site. We do not claim any ownership rights in the contents under your account. We may disclose the contents of your account (a) as required by law or legal process, (b) to protect or defend the rights of the Site, (c) to enforce this Agreement, or (d) to protect the interests of any other user.

SYSTEM SECURITY
We follow technical and management practices that we believe are reasonable under the circumstances to protect the confidentiality, security and integrity of information stored on our system, but we do not operate a completely secure Site. For example, we generally do not use secure pages to collect information and we generally do not store data in encrypted form.

NOTICE OF COPYRIGHT INFRINGEMENT PROCEDURES
If you believe content on our Site infringes your copyrighted work and you want the Site to take down the offending material, you will need to send us a Notice of Copyright Infringement and mail it to us.

Please include all relevant information pertaining to the Copyrighted material, including location on our Site, believed owner, and original source, as well as your contact information.

REPRODUCING OUR MATERIAL
The materials available through the LGP Site are the property of LGP or its licensors, and are protected by copyright, trademark and other intellectual property laws. We reserve all rights not specifically granted to you. This means permission to use the Site and related intellectual property rights will be narrowly interpreted by a court in our favor.
You are free to display and print for your personal, non-commercial use information you receive through the LGP Site.  Except as specifically authorized in this Agreement, you may not store, copy, reproduce, adapt, reformat, create derivative works of, transmit, disseminate, publicly display or perform any copyrighted material from this Site. You may not reverse engineer our Site or any software obtained from it to discover its underlying design or inner workings (and you will hold in confidence for our benefit alone anything discovered in violation of this provision). If you infringe our intellectual property rights or exceed the scope of permitted use of this Agreement, you agree that we could be irreparably injured and may obtain a court order without necessity of posting bond to enjoin you from further mischief.
Of course, you're free to encourage others to access the information themselves on the LGP Site, and to tell them how to find it.

LINKING
We welcome links to the LGP Site. You are usually free to establish a hypertext link to any of the LGP Site so long as the link does not state or imply any sponsorship or endorsement of your site by the LGP Site or by LayzPeople Inc. However, you should check the copyright notice on the page to which you wish to link to make sure that one of our content providers does not have its own policies regarding direct links to their content on the LGP Site.

OUR PROPRIETARY RIGHTS
Our Site may contain an assortment of information, data, software, images, video clips, music, links, logos and other material (“Content”) that are the copyright, trademark or other intellectual property of the owners of this Site or third party suppliers. The Content in this Site is copyrighted individually and as a collective work. All rights are reserved. The name “www.LayZgreenPeople.com” and other names appearing herein are the trademarks or registered trademarks of the Site or the respective third party owners. You will ensure that all copyright, trademark or other proprietary rights notices appearing on any Content remain intact and legible. All licenses are non-exclusive.

DISPLAYING OUR LOGO
Registered members in good standing are granted the nonexclusive, worldwide right and license to publicly display our Logo on their registered website, but not in a capacity that implies endorsement of any products, services, or information on your website.  It may only be used to advertise the LGP site or show support for its products, services, and information. The Logo may not be altered or merged with other logos or trademarks. If we issue a new version of the Logo, you should replace the old one as soon as practicable. If your membership is suspended or terminated, you will promptly remove the Logo and stop using it.

NO FRAMING
Without the prior written permission of LGP, you may not frame, or make it appear that a third-party site is presenting or endorsing, any of the content of the LGP Site, or incorporate any intellectual property of the LGP Site, LayzPeople Inc. or any of their licensors into another web or other service.

INTERNATIONAL
The transport of technology, technical data and information across national boundaries is regulated by the U.S. and certain foreign governments. You agree not to directly or indirectly export or re-export any information, software or technology obtained from or through the Site that requires an export license or governmental approval without first obtaining that license or approval. This provision will survive termination of our Agreement.

If you reside in the European Union (EU) or if any transfer of information between you and our Site is governed by the European Union Data Protection Directive or national laws implementing that Directive, then you consent to the transfer of such information outside of the European Union to your country and to such other countries as may be contemplated by the features and activities provided by the Site.

DISCLAIMER OF WARRANTIES AND LIABILITY

THE LGP SITE IS PROVIDED TO YOU AS IS, WITH ALL FAULTS, AND AS AVAILABLE. THE LGP SITE AND LAYZPEOPLE INC. AND THEIR AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE LGP SITE, NOR DO THEY GUARANTEE THAT THE LGP SITE WILL BE ERROR-FREE OR CONTINUOUSLY AVAILABLE, OR THAT THE LGP SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. UNDER NO CIRCUMSTANCES WILL THE LGP SITE AND LAYZPEOPLE INC. AND THEIR AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES ARISING OUT OF USE OF THE LGP SITE, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT (INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST SAVINGS, LOST PROFIT, LOST GOODWILL, LOST OR CORRUPTED DATA OR BUSINESS INTERRUPTION), EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES.   IF YOU RELY ON ANY LGP SITE OR ANY MATERIAL AVAILABLE THROUGH THE LGP SITE, YOU DO SO AT YOUR OWN RISK. YOU UNDERSTAND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM ANY MATERIAL AND/OR DATA DOWNLOADED FROM OR OTHERWISE PROVIDED THROUGH THE LGP SITE.

(BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF THE LGP SITE, LAYZPEOPLE INC. AND THEIR AFFILIATES, AGENTS AND LICENSORS IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) YOU AGREE THAT THE LIABILITY OF THE LGP SITE, LAYZPEOPLE INC. AND THEIR AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY CONNECTED TO THE LGP SITE WILL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID LGP SITE, LAYZPEOPLE INC. AND THEIR AFFILIATES FOR THE USE OF THE LGP SITE.

PROTECTED PARTIES
THE WARRANTY DISCLAIMERS, LIABILITY LIMITS, INDEMNITIES AND RESERVATION OF RIGHTS CONTAINED IN THIS AGREEMENT PROTECT THE SITE, ITS OFFICERS, DIRECTORS, OWNERS, AGENTS, CONSULTANTS, ADVISERS, EMPLOYEES, AFFILIATES, ADVERTISERS, DISTRIBUTORS, RESELLERS, SUPPLIERS, PUBLISHERS AND PROMOTERS.

JURISDICTION
Because of the uncertainty and lack of uniformity of laws in other jurisdictions (particularly as applied to Internet sites), it is important to agree that our Site operates solely in Delaware (our “Locality”). You are using the Internet as your own agent to access and use our Site from the local Internet point of presence (POP) here in our Locality and you are using the Internet or public carrier as your local agent to take delivery of any information, products or services in our Locality. This means all operations, services, deliveries, performance and contacts of our Site occur solely in our Locality. Our Site does not submit to personal jurisdiction anywhere else and you irrevocably waive any claim to the contrary.

YOU ARE RESPONSIBLE FOR COMPLYING WITH YOUR OWN LOCAL LAWS, WHICH MAY VARY WITH RESPECT TO CERTAIN ACTIVITIES OR PEOPLE (e.g., MINORS). You agree that U.S. District Courts can hear cases involving copyright issues between us. Since we make no warranties and have limited our liabilities, you should have little reason to have a grievance with us. Should you nevertheless bring legal action against us, you irrevocably agree it will be brought and maintained on an individual basis (and not consolidated with similar cases) within one (1) year after the claim arises or be barred. As disincentive for unwarranted litigation, you agree that if you sue us and don’t win on the merits, you will pay our defense costs, including reasonable legal fees for in-house and outside counsel. If we are required to enforce this Agreement or our rights, you irrevocably accept legal notices and papers by electronic mail at your last known email address (we would also attempt to send you a backup copy by regular mail).

CHANGES TO SITE
We reserve the right to modify, change or discontinue the Site or any feature at any time without notice. You agree that the Site is not liable to you or to any third party as a result of any such action. We invite users to make suggestions for ways that the Site can be improved. If you make a suggestion, you authorize us to use the idea and to publish your name in connection with the submission. We do not pay compensation for using submissions.

TERMINATION
Either party may terminate this Agreement in their sole discretion, at any time with or without cause and regardless of the stated registration period otherwise applicable. We reserve the right to suspend or terminate operation of this Site, or any feature of this Site, at any time upon notice. Protections afforded to us and to third parties by this Agreement will survive termination. If this Agreement is suspended or terminated as a result of unauthorized use or infringement of rights to Content obtained from the System, you agree that upon request, you will destroy all copies of such Content in your possession or under your control.

By using the LGP Site, you agree to abide by the terms of this Visitor Agreement. In the event that any portion of this Visitor Agreement is found to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the enforceability or validity of any other portion of this Visitor Agreement, which shall remain in full force and effect and be construed as if the invalid or unenforceable portion were not part of the Visitor Agreement.
